These Terms of Use (the "Terms") are a binding contract between you and Palabra.AI LTD ("Company," "we" and "us"). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in the Privacy Policy, and any other relevant policies.

IMPORTANT NOTICE: PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Will these Terms ever change?

We are constantly striving to enhance our Services, which may necessitate changes to these Terms. We reserve the right to modify the Terms at any time, and in such an event, we will provide notice on our site at Talo, send you an email, and/or notify you through other means.

If you do not agree with the updated Terms, you are free to reject them; however, this will result in the inability to continue using the Services. Your continued use of the Services following the effective date of the amended Terms signifies your acceptance of all changes.

Refund Policy

Trial Period and Charges

  • You receive 20 minutes of free trial usage for 7 days
  • After 7 days of trial period, you will be charged for the PRO monthly subscription

Refund Eligibility

  • If you are not satisfied, you can request a full refund within 7 calendar days of your first payment and if you have used no more than 20 paid translation minutes (your 20 free‑trial minutes do not count toward this limit).

Regulatory notice

  • EU/UK consumers—You have a statutory 14‑day right to withdraw from a digital‑content purchase. By starting paid translation you consent to immediate performance and acknowledge that this right is lost once translation begins.
  • All refunds are processed by Paddle, our Merchant of Record, which may issue a refund at its sole discretion to comply with card‑network or consumer‑protection rules.

Age Requirements

We do not knowingly collect or solicit personally identifiable information from children under 16 years of age. If you are under 16 years of age, please refrain from attempting to register for or use the Services, or sending us any personal information. If we discover that we have collected personal information from a child under 16 years of age, we will promptly delete that information. If you believe that a child under 16 years of age may have provided us with personal information, please contact us at support@palabra.ai

What are the basics of using Talo?

Account Creation and Management

You may be required to sign up for an account, select a password and user name ("Talo User ID"), and provide us with certain information or data, such as your contact information. You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your Talo User ID a name that you don't have the right to use, or another person's name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission.

Third Party Accounts

You may be able to access certain parts or features of the Services by using your account credentials from other services (each, a "Third Party Account"), such as those offered by Google. By using the Services through a Third Party Account, you permit us to access certain information from such account for use by the Services. You are ultimately in control of how much information is accessible to us and may exercise such control by adjusting your privacy settings on your Third Party Account.

You represent and warrant that you are an individual of legal age to form a binding contract (or if not, you've received your parent's or guardian's permission to use the Services and have gotten your parent or guardian to agree to these Terms on your behalf).

Account Security

You will not share your Talo User ID, account or password with anyone, and you must protect the security of your Talo User ID, account, password and any other access tools or credentials. You're responsible for any activity associated with your Talo User ID and account.

Messaging

As part of the Services, you may receive communications through the Services, including messages that Talo sends you (for example, via email). When signing up for the Services, you will receive a welcome message and instructions on how to stop receiving messages.

Restrictions on Use

You represent, warrant, and agree that you will not provide or contribute anything, including any Content or User Data, to the Services, or otherwise use or interact with the Services, in a manner that:

  1. Violates any law or regulation
  2. Is dangerous, fraudulent, harassing, defamatory, or obscene
  3. Jeopardizes account security
  4. Attempts to access other users' information
  5. Violates network security
  6. Interferes with proper Service operation
  7. Engages in unauthorized data collection
  8. Attempts to reverse engineer the Services

Artificial Intelligence Considerations

Since Company uses artificial intelligence/machine learning, please note:

  • Content may contain inaccuracies despite appearing detailed
  • Independent fact-checking is recommended
  • Most current or complete information may not be included

Rights and Licenses

Your Rights in the Services

  • Content is protected by copyright and intellectual property laws
  • Users must abide by all copyright notices and restrictions
  • Users receive a limited license to use Content for Service purposes only

Content Ownership and Restrictions

  • Company owns the Services
  • Users cannot modify, sell, or exploit the Services
  • Content copying restrictions apply even when download features exist

User Data and Licenses

Definition of User Data

Any content you upload, share, store, or provide through the Services, including:

  • Recordings
  • Audio and voice data
  • Live captions
  • Transcripts
  • Outputs
  • Visual displays
  • Other content

User Responsibilities

You are responsible for:

  • Accuracy of User Data – all information and content you upload, share, or generate through the Services is accurate and lawful
  • Compliance with laws – your use of the Services complies with all applicable laws, regulations, and third-party rights
  • Obtaining necessary consents, consent from participants of your meeting - before enabling recording, live captioning, or transcript storage, you have properly informed all meeting participants and obtained any legally required consent to record, process, or share their audio or speech data
  • Following content restrictions – you do not upload, share, or generate any content that violates these Terms, applicable laws, intellectual property rights, or the privacy of others.

Palabra is not responsible for any failure by you to obtain such consents or comply with applicable laws.

License Grants

You grant Company a limited, worldwide, non-exclusive license to:

  • process, transcribe, store, and display User Data solely for the purpose of providing and improving the Services
  • modify User Data for technical purposes
  • use your feedback to improve the Services
  • use aggregated and anonymized data.

When you switch on live captioning or transcript saving in the product (for example, by checking the box in the interface), you're giving us permission to process your audio and speech data so we can provide those features. You can turn these features off at any time in your settings. This will stop us from processing future audio, but it won't delete transcripts that were already created.

Transcription

Depending on your workspace or team settings, saved transcripts and captions may be visible or accessible to other authorized members of your team. By using these features, you authorize such sharing within your organization. Transcripts and captions are retained only as long as necessary to provide the Services or until deleted by you or your organization.

THE SERVICES AND CONTENT ARE PROVIDED "AS-IS" WITHOUT WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR PURPOSE
  • NON-INFRINGEMENT
  • UNINTERRUPTED SERVICE

Limitation of Liability

COMPANY'S LIABILITY IS LIMITED TO:

  • $100 OR
  • AMOUNTS PAID IN PAST 12 MONTHS
  • NO INDIRECT OR CONSEQUENTIAL DAMAGES

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales

Opt-out Rights

You may opt out within 30 days by sending written notice to: support@palabra.ai
